These Terms of Service and End User License Agreement (collectively, the "Agreement") constitute a legally binding and enforceable contract between you, the individual, entity, or organization ("You," "Your," or "User") and Bowrand Inc., a corporation duly incorporated under the laws of the Province of Alberta, Canada, together with its affiliates, subsidiaries, officers, directors, shareholders, agents, employees, licensors, suppliers, and successors ("Bowrand," "We," "Us," or "Our"). This Agreement governs Your access to and use of the Syncolink proprietary Customer Relationship Management (CRM) and artificial intelligence-powered assistant Software-as-a-Service (SaaS) platform, including any and all associated software, applications, mobile applications, websites, application programming interfaces (APIs), databases, documentation, updates, enhancements, new features, and related services provided or made available by Bowrand (collectively, the "Service").

1. DEFINITIONS

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

"AI Features" means features, functionalities, tools, and capabilities within the Service that utilize artificial intelligence, machine learning, neural networks, large language models, or similar technologies.

"Applicable Law" means all applicable international, federal, national, provincial, state, municipal, and local laws, statutes, regulations, ordinances, rules, treaties, and judicial and administrative decisions.

"User Data" means all electronic data, information, content, text, images, personal data, and other materials that You or Your authorized users submit, upload, post, create, store, or otherwise transmit in connection with Your use of the Service.

2. LICENSE GRANT AND INTELLECTUAL PROPERTY OWNERSHIP

2.1. Limited License

Subject to Your ongoing compliance with this Agreement, Bowrand grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the term of Your paid subscription, solely for Your internal business purposes.

2.2. Reservation of Rights

The Service is licensed, not sold. Bowrand and its licensors reserve all right, title, and interest in and to the Service and all intellectual property therein ("Bowrand IP").

2.3. Ownership

Bowrand Inc. is the exclusive owner of all rights, title, and interest in and to Syncolink and Bowrand IP, including software, algorithms, AI Features, models, databases, architecture, user interfaces, designs, documentation, trade names, logos, and any modifications or derivative works.

3. USER CONDUCT AND RESTRICTIONS

You agree not to:

  • Illegal or Unauthorized Use: Use the Service in violation of Applicable Law or to infringe third-party rights.
  • Data Mining/Scraping: Use robots, spiders, crawlers, or similar tools without Bowrand's prior written consent.
  • Reverse Engineering/Interference: Reverse engineer, decompile, disassemble, modify, or access non-public interfaces.
  • Malicious Content: Transmit viruses, malware, or objectionable material.
  • Unauthorized Commercialization: Resell, lease, or provide the Service to third parties without permission.
  • Misuse of AI Features: Generate or disseminate content that is illegal, harmful, discriminatory, or rights-violating.

4. USER DATA, PRIVACY, AND INTERNATIONAL COMPLIANCE

4.1. Data Ownership and License

You retain ownership of Your User Data. You grant Bowrand a worldwide, royalty-free license to host, store, process, reproduce, modify, adapt, and transmit User Data solely to provide, secure, support, and improve the Service.

4.2. Compliance Responsibilities

You are solely responsible for the accuracy, quality, and legality of User Data and for complying with Applicable Law (including, as applicable, GDPR, UK GDPR, CCPA/CPRA, PIPEDA, and anti-spam/telecommunications laws).

4.3. Security

We implement administrative, technical, and physical safeguards designed to protect User Data (e.g., encryption in transit, access controls). However, we do not guarantee absolute security. You provide User Data at Your own risk.

4.4. Google OAuth Sign-In; Google API Services User Data

If You sign in with Google, We may receive Your Google account basic profile information (e.g., name, email address, profile image) strictly for authentication, account creation, and account security. We do not sell or use Google user data for advertising. We do not transfer Google user data to third parties except (a) to subprocessors necessary to provide the Service, under contract, or (b) as required by law.

4.5. Data Deletion and Account Closure

You may request deletion of Your account and associated personal data by (i) using any in-product account deletion tools (if available) or (ii) emailing support@bowrand.com from the email associated with Your account.

4.6. Cross-Border Transfers

We may process data in countries other than Your own. Where required, We rely on appropriate safeguards (e.g., Standard Contractual Clauses) for international transfers.

4.7. Children

The Service is not directed to children under 13 (or age of digital consent in Your jurisdiction). You must not create an account or submit data for a minor without lawful authority.

4.8. Subprocessors and Third-Party Services

We may use vetted third-party providers to deliver the Service (for example, hosting, analytics, communications, authentication, billing, or AI infrastructure). A current list or description is available upon request.

4.9. Privacy Policy

Additional details about data practices are provided in Our Privacy Policy (available on syncolink.net). In the event of a conflict, this Agreement controls with respect to license, use, and Service terms; the Privacy Policy controls with respect to data processing.

5. CUSTOMER BRANDING AND PROMOTIONAL RIGHTS

You grant Bowrand a non-exclusive, worldwide, royalty-free, fully paid-up license to use and display Your name, logo, and marks on Bowrand websites, in customer lists, case studies, and marketing materials. You may revoke this license on written notice; We will make commercially reasonable efforts to cease new uses.

6. PAYMENT, BILLING, AND SUBSCRIPTION

6.1. Fees

You agree to pay all fees for the Service. Unless otherwise stated, fees are in Canadian dollars and exclude taxes.

6.2. Refunds

All fees are non-cancelable and non-refundable, except where otherwise agreed in writing or where a refund is required by Applicable Law.

6.3. Late Payments

Overdue amounts may accrue interest at 1.5% per month (or the maximum allowed by law). We may suspend or terminate access for non-payment.

7. TERM, SUSPENSION, AND TERMINATION

7.1. By Bowrand

We may suspend or terminate Your access where We reasonably believe it is necessary to protect the Service or other users, for material breach, for non-payment, or as otherwise permitted by Applicable Law.

7.2. Effect

Upon termination, all rights and licenses terminate and You must cease all use. Certain provisions survive (e.g., fees due, IP ownership, confidentiality, disclaimers, limitations of liability, dispute resolution).

8. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the Service is provided "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS." Bowrand disclaims all warranties, express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Bowrand will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, data, or goodwill. Bowrand's aggregate liability is limited to the fees You actually paid for the Service in the one (1) month immediately preceding the event giving rise to the claim.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Bowrand and its Affiliates from all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of (a) Your use or misuse of the Service; (b) Your User Data; (c) Your breach of this Agreement; or (d) Your violation of Applicable Law.

11. DISPUTE RESOLUTION: NEGOTIATION, ARBITRATION, AND CLASS ACTION WAIVER

11.1. Negotiation

The parties will attempt in good faith to resolve disputes through negotiation for at least thirty (30) days.

11.2. Arbitration

Unresolved disputes shall be resolved by binding arbitration in Calgary, Alberta, Canada. You waive any right to trial by jury or to sue in court, to the extent permitted by law.

11.3. Class Action Waiver

Disputes must be brought individually, not on a class, collective, or representative basis.

12. GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Subject to Section 11, the parties submit to the exclusive jurisdiction of the courts in Calgary, Alberta.

13. GENERAL PROVISIONS

This Agreement (together with any order forms and Our Privacy Policy) constitutes the entire agreement and supersedes prior understandings. If any provision is held invalid, the remainder will remain in full force. You may not assign this Agreement without Our prior written consent; We may assign to an Affiliate or in connection with a merger, acquisition, or sale of assets. Notices may be sent to the email on Your account; You agree to receive electronic communications. We may update these Terms by posting a revised version with an updated "Last Updated" date; continued use constitutes acceptance.

14. PROTECTION OF EMPLOYEES AND PERSONNEL

During the term and for twenty-four (24) months thereafter, You will not, directly or indirectly, solicit for employment, hire, or engage as a contractor any person who is or was an employee or contractor of Bowrand during the term, except with Bowrand's prior written consent. This does not restrict general solicitations not targeted at Bowrand personnel.

15. THIRD-PARTY SERVICES AND LINKS

The Service may interoperate with or reference third-party products or services (for example, cloud hosting, communications, payments, analytics, authentication, AI infrastructure). Your use of third-party services is governed by their terms and privacy policies. Bowrand is not responsible for third-party services and does not grant any rights in them.

16. EXPORT CONTROLS AND SANCTIONS

You represent that You are not located in, under the control of, or a national or resident of any country or person subject to applicable trade sanctions or export controls. You agree to comply with all such laws in connection with Your use of the Service.

17. BETA FEATURES; CHANGES TO THE SERVICE

We may offer optional beta or pre-release features. Beta features are provided "AS IS," may be modified or discontinued at any time, and may be subject to additional terms. We may modify the Service from time to time, provided such changes do not materially reduce core functionality of the subscribed plan during a paid term.

By using SyncoLink, You acknowledge that You have read, understood, and agreed to these Terms. Bowrand Inc. reserves all rights not expressly granted herein.
